| Jim Riley is an experienced civil action and corporate lawyer. He co-founded the Philadelphia firm of Riley and Fanelli in 1980, where he handles major business or commercial lawsuits, and shareholder dispute cases. He was the Solicitor of the City of Pottsville for more than 20 years and, in that capacity, advised the elected officials of the City of Pottsville on major real estate development. Jim also recently completed a six-year term as chairman of a Hearing Committee of the Disciplinary Board of the Supreme Court of Pennsylvania, the organization charged with the responsibility of enforcing the ethical standards of lawyers. He attended the Catholic University of America, Washington, D.C. and Manhattan College, New York City. |

Dr. Terence Yeo

Dr. Yeo founded Fusion Optix in 2003 whilst living in Cambridge, UK. His early career, and the inspiration for Fusion Optix, was spent in the displays, aerospace and optical networking industries. Whilst working for Nortel Networks, EADS Astrium, and Nashua Corporation he performed in a number of senior management, corporate venturing, sales, marketing and technical roles. In these roles Dr. Yeo contributed to the invention, development and commercialization of a number of patented optical technologies in the areas of liquid crystal displays, microdisplay projection displays and precision optical components for use in consumer, business, aerospace and military markets. Dr. Yeo also has insider experience of the venture capital industry, having worked for Amadeus Capital Partners in the UK and as a consultant to several other VC and corporate investor groups, technology companies and start-ups. Dr. Yeo gained a Ph.D. in Physics and a First Class Honors Degree in
Electronic Engineering and Physics from Loughborough University, and an MBA
from Cambridge University's Judge Business School. |

| S. Donald McCullough |

| Donald McCullough spent 26 years at GTE Sylvania in numerous positions, serving as VP/CFO of the worldwide lighting business unit; VP/GM of the Automotive Lighting Business; and VP/GM of GTE Sylvania Lighting Europe. After leaving GTE Sylvania in 1994, Donald became the President and COO of Signature Brands, which includes brands such as Mr. Coffee, Healthometer, and Pelouze. Donald also served on the Board at Signature Brands before the company was solid in 1998. Since then, Donald has been an independent consultant and works with a private equity firm, TSG Equity Partners, serving as the non-executive Chairman and Director of one of their portfolio companies, Katahdin Industries. He received a BS in Business Administration from John Carroll University, Cleveland and an MBA from State University of New York at Buffalo. |

| James has extensive experience within the accounting and tax field and is
responsible for all financial operations of Fusion Optix, including all
accounting, banking, tax and corporate compliance matters. Prior to joining
Fusion Optix, Inc. he was an external auditor with Ernst & Young LLP, an
international public accounting firm. Previous positions also include;
controller of Addex, Inc., an international provider of state of the art
blown-film plastics manufacturing equipment, and several Controller and
Chief Financial Officer positions in various other private and
publicly-traded companies throughout his career. James earned a BS degree in
Accountancy from Bentley College and holds a Certified Public Accountant
License from the State of Massachusetts. |
